1. Introduction
These terms of service (the "Terms") govern access to and use of the Norvexy platform by a client company and its authorized users. By creating an account or using the platform, you agree to be bound by these Terms. If you accept them on behalf of a company, you represent that you have the authority to bind it.
Norvexy is a young company in active development. These Terms may be updated as the platform and its offering evolve.
2. Key Legal Terms
In these Terms:
- "Norvexy," "we," "our" means the company that operates the Norvexy software platform.
- "Platform" or "Services" means the Norvexy software, including its quotes, email management, payroll, and invoicing modules, and the public website.
- "Client Company," "you," "your" means the construction company that holds a Norvexy account.
- "User" means anyone the client company authorizes to access the platform on its behalf, for example an owner or manager.
- "Content" means the information, files, text, photos, plans, and other data that the client company or its users upload, enter, or generate through the platform.
- "Connected Third-Party Services" means external services a client company may choose to connect to Norvexy, such as Gmail or QuickBooks.
3. Description of the Services
Norvexy is a software platform for Quebec construction companies. It offers, among other things:
- Quotes — AI-assisted quote creation from a description, job site photos, and uploaded plans, including status tracking, sending, and follow-ups.
- Emails — syncing with a connected Gmail account, automatic classification, and AI-assisted drafting of replies and new emails.
- Payroll — employees logging hours with a PIN, with no account creation, plus an hours grid and export for payroll.
- Invoicing — automatic invoice creation from an approved quote, payment status tracking, and, when configured, integration with QuickBooks.
Some features depend on third-party services a client company connects (for example Gmail or QuickBooks) and on those services' own availability. The QuickBooks integration currently runs in a sandbox environment and is not yet deployed to production for all client companies.
Norvexy may add, change, or remove features at any time, particularly because the platform is in active development.
4. Charges
Norvexy does not have a public pricing grid as of the drafting of these Terms. Any applicable fees will be agreed separately, in writing, with each client company before they apply.
If fees are agreed upon, this section and the applicable billing terms will be updated accordingly.
5. Content Ownership
The client company retains all rights to its Content — its quotes, contacts, synced emails, payroll and invoicing data, and any photos and plans it uploads. Norvexy claims no ownership over this Content.
The client company is responsible for ensuring it has the rights necessary to upload and process this Content through the platform, including personal information about its own clients, prospects, and employees.
6. Licenses Granted
Norvexy grants you a limited, non-exclusive, non-transferable license to use the platform for your company's internal business purposes, in accordance with these Terms.
You grant Norvexy a limited license to use, store, and process your Content only to the extent necessary to provide the Services — for example, to generate an AI-assisted quote, sync your emails, or produce an invoice.
7. Your Commitments and Prohibited Uses
By using the platform, you agree to:
- Provide accurate information and keep your login credentials and your employees' PINs confidential.
- Use the platform only for lawful purposes consistent with these Terms.
- Hold the necessary rights and consent for any Content concerning third parties (clients, prospects, employees) that you add into Norvexy.
- Review AI-generated content (descriptions, quote line items, email replies) before relying on it or sending it to a third party — this content is an aid, not a guaranteed-accurate result.
You also agree not to: attempt to access another client company's accounts or data without authorization; reverse-engineer, decompile, or attempt to extract the platform's source code, except to the extent expressly permitted by law; use the platform to transmit illegal, fraudulent, or harmful content; or disrupt the platform's operation or attempt to bypass its security measures.
8. Warranty; Disclaimers; Liability
The platform is provided "as is" and "as available." Norvexy is a young company in active development; we do not warrant that the platform will be error-free, uninterrupted, or fit for a particular purpose.
AI-generated content (quotes, plan readings, email replies) may contain errors or omissions. It is the client company's responsibility to review it before relying on it — Norvexy is not liable for decisions made based on unreviewed generated content.
To the extent permitted by law, Norvexy's liability to a client company for any claim related to the Services is limited to the fees that company paid Norvexy in the twelve (12) months preceding the claim, or, if no fees were paid, to a nominal amount of CAD $100. Norvexy is not liable for indirect, special, or consequential damages.
9. General Provisions
- Suspension and termination: Norvexy may suspend or terminate a client company's access for a material breach of these Terms. A client company may request closure of its account at any time; handling of its Content after closure is governed by our Privacy Policy.
- Changes: Norvexy may update these Terms from time to time, including as the platform evolves. Material changes will be communicated in a reasonable manner.
- Governing law and jurisdiction: these Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute will be subject to the exclusive jurisdiction of the courts of Quebec.
- Language: these Terms are available in French and English. In case of any discrepancy between the two versions, the French version governs.
- Severability and entire agreement: if any provision of these Terms is found invalid, the remaining provisions remain in effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Norvexy regarding the Services.
